Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or via a prominent in-app notification at least 14 days before changes take effect. Your continued use of the Service after any modification constitutes acceptance of the updated Terms.

2. Service Description

AI-DigitalTransform provides a cloud-based platform for conducting digital transformation and IT service management maturity assessments, generating AI-powered insights and recommendations, and producing analytics reports. The specific features available to you depend on the subscription plan you have selected.

We reserve the right to modify, suspend, or discontinue the Service (or any feature) at any time with reasonable notice, except where emergency changes are required for security or legal reasons. We will use reasonable efforts to minimize disruption.

3. Accounts and Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 16 years of age to create an account. If you are creating an account on behalf of an organization, you represent that you are authorized to do so and that the organization agrees to these Terms.

You must notify us immediately of any unauthorized use of your account at security@autoaimagix.com.

4. User Obligations

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to transmit any content that is unlawful, harmful, defamatory, infringing, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems or networks connected to the Service.
• Use automated means (bots, scrapers, etc.) to access the Service beyond what is permitted by our public API documentation.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Resell, sublicense, or otherwise commercialize access to the Service without our express written consent.
• Use the Service to conduct assessments for third parties in a manner that violates third-party privacy rights or applicable law.
• Introduce any malicious code, virus, or other harmful component into the Service.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

5. Subscriptions and Payment

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.

You authorize us (or our payment processor) to charge your payment method for all applicable fees. If payment fails, we may suspend your access to paid features after reasonable notice. Prices are subject to change with 30 days' notice.

Free trial periods are offered at our discretion. We reserve the right to discontinue any trial at any time. Credit card details collected during a trial will be charged at the applicable plan rate at the end of the trial period unless you cancel before the trial expires.

6. Intellectual Property

The Service and its original content, features, and functionality — including the AI models, assessment frameworks, software, design, text, and graphics — are and will remain the exclusive property of AI-DigitalTransform and its licensors, protected by copyright, trademark, and other intellectual property laws.

You retain full ownership of all content you submit to the Service ("Customer Data"), including assessment responses, uploaded documents, and custom framework configurations. By submitting Customer Data, you grant AI-DigitalTransform a limited, worldwide, royalty-free license to host, process, and transmit that data solely for the purpose of providing the Service to you.

We may use aggregate, anonymised, de-identified data derived from Customer Data to improve our AI models and platform, provided such data cannot reasonably be used to identify you or your organization.

7. Confidentiality

Each party agrees to hold the other's Confidential Information in strict confidence using at least the same degree of care used to protect its own confidential information (but no less than reasonable care), and to use such information only for the purpose of performing its obligations or exercising its rights under these Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

AI-generated insights and recommendations are provided for informational purposes only. They do not constitute professional advice (legal, financial, or otherwise) and should not be relied upon as the sole basis for business decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AUTOAI MAGIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL AUTOAI MAGIX'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless AI-DigitalTransform and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data infringing the intellectual property or other rights of any third party; or (c) your violation of any applicable law.

11. Termination

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately. We will provide a 30-day data export window following termination, after which your Customer Data will be deleted per our retention policy.

12. Governing Law and Disputes

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC), without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the DIFC Courts, except where mandatory local consumer protection laws require otherwise.
